Filing the Handover: Form X-7 in Full
Hawaii has no Secretary of State. Entity records are held by the Business Registration Division of DCCA, known as BREG, and this is the office that processes the change.
The form. Form X-7 carries the title Statement of Change of Registered Agent by Entity, and HRS § 425R-7 supplies its caption. It identifies the company, the agent leaving the record, and the agent taking over with a Hawaii street address.
The money. $25 is the stated filing fee. Hawaii adds $1 for the State Archives on permanent records, making $26 the amount actually collected.
The route. Paper submission to the division, or the online route, which has run on a rebuilt platform since July 2026.
The qualification test. The incoming agent must be an individual resident of Hawaii, a company formed in the state, or an out-of-state company authorized to do business here, keeping an office at a Hawaii street address. Post office boxes do not qualify. Neither does the company itself; Hawaii bars an entity from serving as its own registered agent, which is a rule owners arriving from other states routinely get wrong.
The confirmation. When processing finishes, the public entry shows the new agent. From that point service of process is directed to the new address and the previous agent receives nothing further on your behalf.
Do Not Let the Term Lapse Into a Gap
A bundled period ending is not the same event as a filing being processed. If the free months run out while the X-7 is still on your desk, your entity is registered in Hawaii with an agent who has stopped acting for it, and the obligation to have one does not pause for administrative reasons. The state will keep sending process to the address on file, and whoever is standing there has no contract with you.
